Background I am a Yale graduate, spent 16 years in the investment banking business with Credit Suisse First Boston in NY and London, and JP Morgan in Paris, London and NY. After that I ran a company in France for 11 years, and then moved to California where I have consulted and managed financial transactions, specializing in advising privately-owned companies with $5m to $50m in sales, as well as assisting start-ups and occasionally representing family offices and other high net worth investors. I speak fluent French. While in London (5 years) and Paris (20 years), I worked with companies all over the world as a capital markets expert, supervising a team responsible for 100 securities new issues per year, including IPOs, and then went to JP Morgan where I specialized in Corporate Finance. In 1996, I left investment banking to start consulting, but within a couple of months I was asked by one of my first clients to become CEO to a telecom services company (installed and maintained networks) that needed to be restructured. I proceeded to add 11 years of experience "making payroll" and being a company owner. I exited in 2007, and in 2008, after 20 years in Paris and 25 years in Europe, I moved my family (including four children) to the San Francisco bay area. In 2021, an empty-nester, I moved closer to skiing and hiking in northern Nevada. Since coming back to the US, I have assisted with the acquisition and turnaround (as CEO) of a virtual winery, established distribution channels for a start-up which produces wireless equipment for large-scale agriculture, and consulted and mentored dozens of entrepreneurs. I consult on financial strategy for company owners, including working as part-time CFO starting years' prior to any exit, assisting with valuation. I provide strategy and execution. I have introduced entrepreneurs to global companies, assisted in negotiating worldwide licensing and bring my global company experience to entrepreneurial companies. I have advised business owners on M&A (acquisitions & exits), capital-raises, strategic partnerships (in one case with a global luxury brand), tax and accounting strategy, executive compensation through shares or options, debt financings including SBA and supplier financing, and assisted with financial analyses, contract advice, and some services that qualify as management consulting. The execution I provide includes preparing business plans, investor decks, financial projections, financial analyses, valuations, term sheets, and assisting with contracts. I also assist with the negotiation, documentation, and closing. I signed off on billions of dollars of transactions as a banker, so I understand the contracts and know investor preferences. I advise on the business terms, but also advise on risk and risk mitigation, market practices, common pitfalls, pricing, valuation, timing, and however else I can help. I work with passion, have a lot of energy, and I really enjoy helping company owners and their teams.
