Responsibilities: Conduct thorough legal research and analysis pertaining to real estate securities laws and regulatory frameworks. Draft, review, and negotiate complex legal documents, including but not limited to offering memoranda, purchase agreements, and compliance disclosures. Perform detailed due diligence for real estate transactions, including examination of title reports, environmental studies, and financial audits. Provide strategic legal advice to clients on investment opportunities and securities compliance, ensuring alignment with business goals. Collaborate with a dynamic team of attorneys and paralegals to coordinate legal processes and support client objectives. Maintain current knowledge of industry developments and participate in continuing legal education in real estate securities law. Qualifications: Juris Doctor (JD) degree from an accredited law school and active bar membership in good standing. At least 3-5 years of proven experience in real estate securities law, particularly in transactional work and securities offerings. Comprehensive understanding of the Securities Act of 1933 and Securities Exchange Act of 1934, and the 1940s Acts, among other regulatory statutes. Demonstrated ability to draft detailed legal documents and effectively negotiate on behalf of clients. Strong analytical capabilities and meticulous attention to detail. Proven ability to manage multiple projects simultaneously under tight deadlines. Excellent verbal and written communication skills, with a knack for clear and persuasive client and stakeholder engagement.
